CamperWorld RV Campgrounds Enrollment Program Terms & Conditions

I and or we, hereinafter referred to as “Enrollee(s),” hereby agree to these Terms and Conditions, whereby Enrollee agrees to pay a one-time

enrollment fee (“Enrollment Fee”), an ongoing monthly or annual fee (“Subscription Fee(s)”) and with some Subscriptions a nightly utility fee

(“Nightly Utility Fee”) in exchange for discounts on nightly usage fees at one or more of RV resort properties (the ”Park” or Park(s)” or “Resort”

or the “Resort(s)”) owned by OSIRIS, L.L.C Osiris (and/or other Parks or Resorts managed by Taj Management, LLC (“Taj”) doing business as

CamperWorld. Parks under different owners are referred to as (“CW Affiliate Park or Park(s) or Resort or Resort(s)”). Osiris, Taj and other CW

Affiliate Park or Resort owners are collectively referred in this agreement as (“CW”). The terms and conditions set forth herein (the “Enrollment

Program”) are between the Enrollee and CW. Enrollee understands and acknowledges that all notices, invoices, statements, updates, or

communications of any kind, legal or otherwise, will be sent via e-mail and are accepted by Enrollee as permitted, approved and legally binding

notices. Enrollee is responsible to notify CW of any change in Enrollee’s e-mail address(es).

Enrollee shall pay the Enrollment Fee by check, credit card, or cash before any benefits are granted. Enrollee shall pay the Annual or Monthly

Subscription Fee every year/month to keep Enrollee’s enrollment active. Enrollee shall pay the Utility Fee with applicable Subscription Programs

for each night camped at the time of booking a reservation or at the campground when camping as required by CW. The Subscription Fee is

variable based on the Enrollees desired level of discount and days desired to camp in the Parks or Resorts. Enrollment, Subscription and Nightly

Utility Fees are non-refundable. The terms of enrollment are as follows:

1. RENEWAL PROGRAM. Enrollee’s initial term shall commence upon payment of the Enrollment Fee and first Monthly or Annual Fee and

continue for one month or one year, respectively, thereafter (the “Enrollment Term”). Provided Enrollee is not in default under this Enrollment

Agreement, Enrollee shall have the right to renew the Enrollment Term on a month-to-month basis by paying the Monthly Subscription Fee each

month, or year-to-year by paying the Annual Subscription Fee each year. Additionally, Nightly Utility Fees, for applicable Subscriptions must be

paid and current at the time of use. The “Subscription Fees” can increase by no more than 5% any given year. Nightly Utility Fees may increase

by no more than the percentage increase cost to provide utilities any given year as calculated by an average across all the CW Parks and

Resorts. Enrollee’s may also move between the Enrollment Subscriptions plans but no more than one time in a 12-month period. Administrative

fee for moving between programs is outlined in the fee schedule.

2. PAYMENT TERMS. If a payment of any installment against the amount described above is late by 10 or more days, CW may terminate Enrollees

“Enrolled status” and Enrollee shall have no further rights hereunder. Enrollee shall not be entitled to a refund of any amount paid prior to default.

This is a legal and binding contract.

3. ENROLLEE RIGHTS. As an Enrollee in good standing with CW, and provided Enrollee is not in default under any of the terms or conditions of

these Terms and Conditions, Enrollee is entitled to receive a discount, in a predetermined amount based on Enrollee’s Enrollment and

Subscription type and related Fees and all other applicable fees, if any, from regular entrance fees for the use of one (1) camping space at the

existing campsites at the selected Resort(s) and facilities related to the camping space and/or campsites at such Resort(s), which the Enrollee

Enrolled in, which are intended for use by all those enrolled in the Enrollment Program (the “Resort Enrollment”). Enrollee is only eligible to

receive a discount on one (1) camping site per visit to a Resort they are Enrolled in. Payment of the Enrollment, Subscription and Nightly Utility

Fees, when applicable, entitles Enrollee only to a discount and nights for Subscription Level as set forth in Enrollment Fee Schedule in place at

the time of Enrollee’s Enrolment, subject to Enrollee’s compliance with all Policies and Procedures as stated in the Enrollee Policy Guide

(hereinafter referred to as the “Policy Guide”). Entrance to a Resort is subject to availability and is not guaranteed by payment of the Enrollment

Fee. Enrollee acknowledges it has received and has been provided an adequate opportunity to read the Enrollee Policies prior to agreeing to

these Terms and Conditions, the terms of which Policy Guide are herein incorporated by reference as though set out verbatim herein. Enrollee

agrees to abide by the Policy Guide at all times while at the Resort(s) and shall cause all of its invitees to abide by the Policy Guide at all times

while at the Resort(s). CW reserves the right to update and/or revise the Policy Guide at any time and in its sole discretion, which updates and/or

revisions shall be effective against Enrollee upon CW’s delivery of notice thereof to Enrollee. Enrollees may be issued one identification card,

or present alternate form of legal I.D. (hereinafter referred to as I.D.), which must always be presented to the Resort managers or host in order

to gain entrance. Subject to availability, this I.D. will admit the Enrollee and guests to occupy a camping space. The location and nature of the

Resort(s) and facilities, among other things, are set forth in the Policy Guide. Facilities may be added to or subtracted from those that existed

at the time of execution of this Enrollment Agreement, with no obligation to increase or improve existing facilities. The fees Enrollee pays for

use of the Resort(s’) facilities shall be determined by the Policy Guide which relate to matters and restrictions that are reasonable and appropriate

in the judgment of CW to assure maximum availability and utility of facilities for the Resort’s Enrollment as a whole. CW reserves the right to

amend its Policy Guide governing Resort usage, including its fees for services. CW reserves the right to establish restrictions on usage during

times of high Enrollee usage whenever CW determines, in its sole discretion, that some form of restriction will be beneficial for the Resort

Enrollment as a whole. Enrollee may exercise its rights hereunder for recreational purposes only and not to create residency at the Resort(s).

Violation of this condition may result in suspension or revocation of this Enrollment Agreement. CW reserves the right to enter into agreements

with other parties regarding the use of the Resorts with rights and privileges that may differ from this Enrollment Agreement.

4. DURATION AND TRANSFERABILITY OF ENROLLMENT. Enrollment shall be valid for one (1) month from each payment of the Monthly

Subscription Fee, or one (1) year from each payment of the Annual Subscription Fee. Enrollee may not advertise for sale or assign its rights or

obligations hereunder without the prior consent of CW, which may be withheld in CW’s sole discretion. Notwithstanding, Enrollee’s Enrolment

in the RV Park(s) or Resort(s) may be assigned to a family member or other persons subject to CW written consent. Assignments of Enrollment

can only happen once per the life of an Enrollment and may not be assigned by the Successor to subsequent Successor. No assignment will

become effective until the proposed assignee has executed these Terms and Conditions and all other documents required by CW and paid any

associated “Transfer of Enrollment Fee”. Enrollment in affiliate programs will be subject to any enrollment fees charged the affiliate program.

Enrollee may not assign, rent, loan, or otherwise alienate its rights or obligations hereunder, temporarily or permanently without express written

consent by CW.

5. ACKNOWLEDGEMENTS AND REPRESENTATIONS. No oral representations have been relied upon. These Terms and Conditions supersede

and cancel any previous negotiations, arrangements, representations, understandings and agreements, if any, made between CW and Enrollee

regarding the subject matter of these Terms and Conditions. These Terms and Conditions constitute the entire agreement between the parties

and shall become effective and binding on CW upon approval of CW Management.

7. AFFILIATE/RECIPROCAL OR NETWORK PROGRAMS. CW may offer additional discount or exchange programs. One of the exchange

programs available to Enrollees is conducted by Camp Coast to Coast, Inc., a Delaware corporation (“CCC”). CW is party to an agreement with

CCC, under which CCC has appointed CW as CCC limited agent for the sole purpose of enrolling applicants to become Enrollees of the CCC

exchange program. NO OTHER RELATIONSHIPS EXIST BETWEEN CCC AND THE OWNER OF THIS RESORT. Other programs may be

available which include, but are not limited to, Resort Parks International and A Leisure Life. An application must be filled out and signed by

Enrollee for any affiliation that is included in their Enrollment. All rules, guidelines, changes or issues that may occur with an affiliate/reciprocal

program, are not the responsibility of CW as these affiliates/reciprocals may be independently owned, operated and managed. Affiliate/reciprocal

programs are optional. Enrollee is subject to and responsible for affiliate/reciprocal resort fees and resort rules. CW cannot guarantee the nature,

quality and availability of any individual campground and facilities participating in an affiliate/reciprocal program.

8. WITWHDRAWAL OR REPLACEMENT OF RESORTS. Subject to applicable state law, CW hereby reserves the right to withdraw from allowing

Enrollee’s use of any Resort(s’) property and amenities if a) Resort is sold, and Enrollment Fee was waived and/or complimentary; b) adequate

provision has been made by CW to provide Enrollee, within a reasonable time, a substitute camping property in the same general region; c)

Enrollee’s rights under these Terms and Conditions have been cancelled or terminated; or d) so ordered by a court of competent jurisdiction or

governing regulatory agency.

9. DAMAGES. Enrollee shall be liable to CW for the cost of replacing damaged property or repairing any damage to the Resort(s) caused by

Enrollee or Enrollee’s invitees. CW is not responsible for any accidents, injuries or illness that occurs at the Resort(s) and facilities, and Enrollee

releases CW from the same. By accepting these Terms and Conditions, it is agreed that Enrollee is expressly assuming the risk of any harm

arising from its use of the Resort(s) and related facilities or the use of others whom Enrollee invites to use the Resort(s) and related facilities.

10. INDEMNIFICATION; LIMITATION ON LIABILITY. Enrollee shall indemnify, defend, and hold harmless CW, along with the owners, officers,

agents, and other representatives of CW (collectively, the “Indemnified Parties”) from and against all liabilities, losses, damages, and costs of

every kind and nature, including without limitation attorney fees, relating to any and all claims, disputes, suits and demands asserted against

CW arising out of or in any way relating to (i) Enrollee’s or Enrollee’s invitees’ use of the Resort Property; (ii) any accidents, injuries, or illness

that may occur to Enrollee, and/or Enrollee’s invitees, or other persons that are caused or permitted to be caused by the intentional, negligent,

or careless acts of Enrollee, and/or Enrollee’s invitees; or (iii) Enrollee’s breach of any term of these Terms and Conditions and/or the Enrollee

Policies. In addition, the Indemnified Parties shall not be liable for the loss, damage, or theft of Enrollee’s or Enrollee’s invitees’ belongings,

valuables, or other personal property.

11. GOVERNING LAW. These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Utah, without

giving effect to principles of conflicts of law.

12. SEVERABILITY. The provisions of these Terms and Conditions are severable and should any provision hereof be unenforceable under any

applicable law, such enforceable provision shall not affect or invalidate any other provision of these Terms and Conditions.

13. BINDING EFFECT. These Terms and Conditions shall inure to the benefit of and be binding upon the parties’ respective successors, assigns

and representatives.

14. DISPUTE RESOLUTION. If a dispute arises out of or relates the Terms and Conditions, or its breach, and if the dispute cannot be settled

through negotiation, the parties agree first to try in good faith to settle the dispute by mediation through a mutually agreed upon mediator with

each party bearing half of the cost.

Enrollment and Subscription Fees are offered for a limited time.

Programs can be offered in packages, including discounts from time to time by CW or its affiliate sales associates.

Fee Schedule in place and/or offering made to Enrollee at the time of Enrollment guaranties Fee’s and Rates per the Terms and

Conditions and Policy Guide.
